AM 15 Law Firm, New York seeks a Managing Associate who will act under moderate partner supervision to draft and negotiate M&A and private equity documentation, including share purchase agreements, asset purchase agreements, merger agreements, limited liability company agreements, and other ancillary documents.
Including advising clients on merger and acquisition opportunities, market practice, terms and conditions of securities, and related matters. The Managing Associate will mentor junior associates and paralegals, review work and delegate responsibility for particular tasks related to M&A transactions.
Responsibilities are advising market-leading private equity and strategic clients on large-cap buy-side and sell-side public and private M&A transactions in the financial services, energy, industrials, technology, education, automotive, and software industries.
Negotiating key financing, contractual, and commercial terms to ensure clients’ best interests are reflected.
Advising clients on domestic and international buyouts, takeovers, strategic investments, divestitures, and dispositions, including commercial considerations, potential risks, and solutions.
Advising on SEC-registered and unregistered offerings and private fund formation, including conducting diligence, drafting opinions, certificates, and closing documents, and coordinating with sponsors, limited partners, underwriters, and escrow agents.
Managing closing and post-closing documents and processes, including closing mechanics, funds flow, and insurance claims.
Active New York Bar Membership is required.
Candidates will possess excellent academic credentials.
